Stock compensation
Stock compensation valuation across the award lifecycle
Employee equity awards can look similar in a plan summary while carrying very different valuation and accounting consequences. The analysis begins with the actual award terms.
- Options, RSUs, and performance awards
- ASC 718 valuation inputs
- Award terms mapped before modeling
Different awards, different questions
An employee stock option provides a right to purchase shares at an exercise price. A restricted stock unit is a promise to deliver shares or cash if vesting conditions are met. A performance share unit adds defined performance or market conditions. A performance stock option combines option economics with performance-contingent vesting or exercisability.
Those distinctions affect the valuation technique, required assumptions, and expense-recognition analysis. Labels in a spreadsheet are not a substitute for reading the plan and award agreement.
Fair value and compensation cost are related, not identical
ASC 718 generally begins with grant-date fair value for equity-classified awards, but the timing and amount of recognized compensation cost also depend on vesting, forfeitures, modifications, settlements, and whether conditions are service, performance, or market conditions.
A valuation analysis can support fair value and model inputs. Management and the company’s accounting advisers remain responsible for classification, expense recognition, disclosures, and the application of accounting guidance to the complete facts.
A practical analytical package
The useful record is more than a model output. It ties the award population to governing terms, states the valuation date and share-price input, documents volatility and expected term where relevant, and explains special modeling for market conditions or path-dependent features.
- Award inventory and key contractual terms
- Share price, exercise price, term, dividend, and risk-free inputs
- Volatility and expected-term support for option awards
- Scenario or simulation design for relevant market conditions
- Reconciliation of modeled awards to the reporting population
